1. About Us
FirmSignal ("we", "us", "our") is a software-as-a-service product operated by FirmSignal.io. Our registered address and company details are available on request at admin@firmsignal.kemja.co.uk.
2. Acceptance of Terms
By creating an account or using the FirmSignal platform ("Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. These terms form a legally binding agreement between you and FirmSignal.
3. Eligibility
The Service is intended for use by accounting professionals and firms operating in the United Kingdom. You must be at least 18 years old and have the authority to enter into this agreement on behalf of your business where applicable.
4. Description of Service
FirmSignal monitors publicly available Companies House filing data to identify SME businesses with overdue filings. We provide this information as leads to help accounting firms identify potential clients. All data is sourced from the Companies House public register.
5. Free Trial & Subscriptions
- New accounts receive a 14-day free trial with access to paid plan features.
- No payment method is required to start a trial.
- At the end of the trial, continued access requires a paid subscription.
- Subscription fees are billed monthly in advance via Stripe.
- You may cancel at any time via the billing portal. Cancellation takes effect at the end of the current billing period.
- We do not offer refunds for partial months or unused periods.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use lead data to send unsolicited bulk commercial communications (spam) in violation of the Privacy and Electronic Communications Regulations (PECR).
- Resell, sublicense, or redistribute any data or access provided by the Service.
- Attempt to scrape, reverse-engineer, or extract data from the platform in bulk.
- Use the Service in any way that violates applicable UK law, including UK GDPR.
- Impersonate any person or entity or misrepresent your affiliation.
7. Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our data practices as described therein. You are responsible for ensuring your own use of lead data complies with UK GDPR, PECR, and any other applicable regulations.
8. Intellectual Property
All content, software, trademarks, and materials on the platform are the property of FirmSignal or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or that lead data will be complete or accurate at all times. Companies House data may have delays or gaps. You use the Service at your own risk.
10. Limitation of Liability
To the fullest extent permitted by law, FirmSignal shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you in any month shall not exceed the subscription fees paid by you in that month. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
11. Termination
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay applicable fees. You may close your account at any time via the account settings. On termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via the platform at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
